End-User License Agreement
This agreement covers pq-cli-taxes (the "Software"), a private command-line tool that Pocket Quant LLC ("we") built to read and organize its own QuickBooks Online accounting records. By using the Software you accept these terms.
1. Who may use it
The Software is internal. It is licensed only to Pocket Quant LLC and the people it authorizes to keep its books. It is not sold, listed, or offered to the public, and it connects only to QuickBooks Online companies that Pocket Quant LLC owns or administers.
2. License
We grant authorized users a non-exclusive, non-transferable, revocable license to run the Software for Pocket Quant LLC's own bookkeeping and tax preparation. You may not redistribute, sublicense, or use it to access anyone else's accounting data.
3. Your QuickBooks data
The Software connects to QuickBooks Online through Intuit's OAuth 2.0 authorization, which the company's QuickBooks administrator grants and can revoke at any time. Your accounting data stays yours. How the Software handles it is described in the Privacy Policy.
4. Changes to your books
Most functions only read data. Any function that changes records in QuickBooks Online runs only when an authorized user explicitly starts it, and each change is logged so it can be reviewed or reversed. You are responsible for reviewing changes before applying them.
5. No warranty
The Software is provided "as is", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and accuracy. It does not provide tax, legal, or accounting advice.
6. Limitation of liability
To the extent allowed by law, Pocket Quant LLC is not liable for any indirect, incidental, or consequential damages, or for any loss of data or profits, arising from use of the Software.
7. Intuit
QuickBooks and Intuit are trademarks of Intuit Inc. Intuit is not a party to this agreement and does not endorse the Software.
8. Ending the license
You can stop using the Software at any time by disconnecting it in QuickBooks Online. We can end this license at any time. Sections 5 to 7 survive termination.
9. Governing law
This agreement is governed by the laws of the State of California, USA.
